Why Fragmented Portfolios Cost Money
Most portfolio investors accumulate assets over time, each acquisition landing in its own SPV with whichever lender was willing at the time. The result is a portfolio that performs well at the asset level but is structurally and financially inefficient at portfolio level.
A fragmented multi-SPV structure means the investor cannot access a group rate, cannot consolidate borrowing capacity, and faces rolling refinance risk as individual facilities expire on different timelines. For family offices operating at scale, this is a structural drag on returns that compounds over time.
The solution is a group restructure: migrating the individual SPVs into a group holding structure under a single HoldCo, consolidating the assets onto a single lender facility at a group rate, and managing the SDLT exposure through group relief structuring under Schedule 7A of the Finance Act 2003.
Under Schedule 7A of the Finance Act 2003, transfers of property between companies within the same 75% group can qualify for SDLT group relief, eliminating the tax liability on the intra-group transfer. The qualifying conditions must be met at the time of transfer and for three years thereafter. We work with specialist property tax counsel to confirm eligibility and structure the transaction to protect the relief.

Frequently asked questions
What is SDLT group relief and how does it work?
SDLT group relief under Schedule 7A of the Finance Act 2003 allows property transfers between companies in the same 75% group to be exempt from Stamp Duty Land Tax. Both companies must be in the same group at the time of the transaction and remain so for three years. The conditions must be confirmed by a qualified tax advisor before the transaction proceeds.
Can I consolidate a portfolio if some properties are in my personal name?
Yes, though personally-held properties will need to be transferred into the company structure first, which will trigger SDLT at standard rates unless another relief applies. We assess the economics of this on a case-by-case basis.
Which lenders will underwrite a HoldCo portfolio facility?
Shawbrook Bank is one of the most active lenders in this space. Other specialist portfolio lenders also operate here. The right lender depends on asset mix, geography, borrower profile, and loan size.
How long does a portfolio consolidation take?
Eight to sixteen weeks from instruction to completion for a straightforward consolidation of five to ten assets. More complex structures with larger numbers of assets take longer. The legal element is usually the critical path.
What is the minimum portfolio size for this to make sense?
Typically at least £3m to £5m in total lending to justify the restructuring costs. Unicorn Capital Advisory will model the cost-benefit before recommending a consolidation.
